Terms of sale

These terms apply to everything we sell: consulting, automations, software, custom development and monthly fees. We wrote them in plain words. If the written proposal you receive says something different, the proposal prevails.

Who we are and when these terms apply

The provider is Mundus Code CH di Gianpiero Cirillo, Via delle Scuole 1, 6900 Lugano, Switzerland (“we”, “The AI Lab”). The customer is the company or person who accepts one of our proposals (“you”). These terms govern our relations with businesses and professionals; with a consumer, the mandatory rules protecting consumers also apply.

What we sell

Consulting (in-depth AI Audit, strategy sessions, workshops), automations from our catalogue installed and configured, our own subscription software such as Araldo AI, custom development and monthly services (fees) covering hosting, use of AI models, maintenance and support. What exactly, at what price and in what time frame is stated in the proposal.

Proposal and acceptance

Every proposal is in writing and states price, timing and expiry (usually 30 days). Acceptance through the proposal link, the client area or in writing counts as an order: the contract is formed at that moment, with no signature needed. The benefit estimates in the proposal are indicative and are not part of what we commit to deliver.

Prices and VAT

Prices are in Swiss francs (CHF). VAT is added only where due. VAT: [TO BE CONFIRMED].

Payment

Invoices are payable within 30 days of their date, by QR-bill or bank transfer. Fees are invoiced for each period, as stated in the proposal. From the due date, default interest of 5% per year applies (Art. 104 of the Swiss Code of Obligations). If a payment is still outstanding after a reminder, we may suspend the services (fees, automations, access) until payment, after notifying you.

Delivery and acceptance testing

We deliver what the proposal provides for and tell you when it is ready. You have 10 days from delivery to test it and report defects to us in writing; if you do not write to us within that time, the delivery is accepted. Using it in your business also counts as acceptance. We fix reported defects within a reasonable time and then repeat the test on those points. The timings in the proposal are estimates and also depend on what we need from you (access, data, answers).

Monthly fees

Monthly services run until you cancel them and are paid every month. You can cancel in writing, including by email, with one month's notice to the end of a month. When a fee ends, the automations that depend on our platform stop; we return or delete your data as the data processing agreement provides.

Intellectual property

Once paid, you receive the right to use what we deliver for your business: without time limit for custom development, and for the duration of the fee for subscription software and automations hosted on our platform. Our know-how, platform, tools and reusable components (templates, libraries, automation blocks) remain ours, and we may use them for other customers too, never with your data or confidential information. Your data and your content remain yours.

Artificial intelligence: the limits

Our solutions use artificial intelligence models. Estimates (time saved, scores, benefits) are indicative: we do not promise a result. An AI model can make mistakes: that is why every automation has written rules and a hand-off to a person, and important decisions (prices, commitments, payments, sensitive replies) stay with people. It is up to you to oversee the use in your business and to tell your customers when they are talking to an AI assistant.

Your cooperation

You give us the access, data and answers we need in good time, and you have the right to use the data and content you entrust to us. You are responsible for the content the automations publish or send in your name after your approval.

Personal data

For the personal data we process for you (for example your customers' contact details in the automations), the data processing agreement applies and forms part of these terms. For the data we process as controller, the privacy notice applies.

Data processing · Privacy

Liability

We are liable for damage we cause up to the amount you paid us in the 12 months before the event. We are not liable for indirect or consequential damage, such as lost profit or outages of third-party services. These limits do not apply in case of intent or gross negligence, or where the law does not allow them (Art. 100 of the Swiss Code of Obligations).

Confidentiality

We keep confidential what you tell us about your business; you do the same with our offers, prices and know-how. The obligation continues after the contract ends. We mention you as a customer only with your permission.

Term and termination

A project ends with accepted delivery; a fee runs until you cancel it. Either party may terminate immediately, in writing, if the other seriously breaches the contract and does not remedy it within 30 days of notice. If you stop a project before the end, you pay for the work done up to that point.

Changes

A contract is governed by the terms in force when you accept the proposal. If we change them for running fees, we tell you at least 30 days in advance: if you disagree, you can cancel for that date.

Law and jurisdiction

Swiss law applies, excluding the Vienna Convention on the International Sale of Goods. Place of jurisdiction: Lugano. Before going to court we try to find a solution together.
